Item 8.01.  Other Events.

On March 19, 2024, Sphere 3D Corp. (the "Sphere") filed suit against Gryphon Digital Mining, Inc. ("Gryphon") in the United States District Court for the Southern District of New York. The suit is a claim for (i) conversion and (ii) promissory estoppel, against Gryphon, and alleges that Gryphon stole assets from Sphere in Gryphon's capacity as the exclusive provider of management services to Sphere. The suit seeks to recover $1.7 million in assets from Gryphon.
