Board of Directors

Ms. Trompeter joined the Sphere 3D Board of Directors in April 2021 and has served as our Chief Executive Officer since April 2022. She brings to Sphere 3D over 20 years of notable success guiding corporate turnarounds, business dissolutions, M&A execution, finance, and acquisition integration. In her leadership role with Sphere 3D, she leverages her experience to optimize the Company’s operational and financial structures and ignite its revenue growth engines. Her experience includes various executive leadership positions, including Board Director, CFO, controller, COO, and M&A lead, for innovative and emerging technology companies. At GE Capital, Ms. Trompeter spent more than 15 years refining her restructuring & turnaround skills, mergers & acquisition skills, and her financial and operational expertise while growing her career. Before leaving, she earned the role of CFO at GE Capital IT Solutions, North America, overseeing $3B in Revenue. She is a Founder and Managing Director of Ceres Capital Ventures, LLC, an independent investment and advisory firm growing innovative technologies in emerging markets. She also serves as a mentor for minority female-owned businesses and assists several non-profits. Ms. Trompeter studied business administration at Marquette University, majoring in finance and economics, graduating in 1989.

Mr. McEwan joined the Sphere 3D Board of Directors in May 2017. The expertise and experience he brings to the company in developing and executing growth strategies for burgeoning technology companies were earned over 25 years in executive leadership roles at multiple technology companies, primarily in the communications industry. Mr. McEwan also brings significant experience as an executive and board member to several private and public companies and as a consultant providing M&A and strategic advice to technology companies.

Mr. McEwan was EVP and Chief Strategy Officer of Call-Net Enterprises Inc., a long-distance provider which merged into Rogers Communication Inc.; President and COO of Sprint Canada Inc.; CEO of Northpoint Canada Communications, a provider of high-speed data and Internet; President and CEO of Canadian Satellite Communications; and Chairman of the Board of Directors at Geminare Incorporated, a business continuity and cloud-based software systems provider acquired by Recovery Point. Mr. McEwan is a graduate of the University of Toronto.

Mr. Mahadevan joined the Sphere 3D Board of Directors in December 2014. He brings significant experience in helping technology companies increase their revenue and become market leaders. He has over 25 years of senior-level strategic planning and marketing experience with expertise in the data analytics, security, storage, and cloud industries. He is the CEO of Buurst, Inc., a data performance company, and the CEO of Dev Solutions, Inc., a consulting firm helping technology startups grow into next-generation market leaders. Before these roles, he was Chief Strategy Officer at NetApp; Vice President of Marketing for LSI Corporation, and CEO for Deeya Energy. Mr. Mahadevan also held senior management positions with BMC Software, Compaq, Ivita, and Maxxan Systems. He earned an MBA in Marketing and MS in Engineering from the University of Iowa and a degree in Mechanical Engineering from the Indian Institute of Technology.

Timothy Hanley joined the Sphere 3D board of directors in May 2022. He is a seasoned global executive with experience consulting with manufacturers regarding digital transformation, organizational strategy development and execution, acquisitions, and market development. He is a Qualified Financial Expert and has significant experience in the board room and working with audit committees.

Mr. Hanley was most recently a Senior Partner with Deloitte LLP ("Deloitte"). During his 17 years at Deloitte, he led the firm's Global Consumer and Industrial Products practice, which he helped grow to more than $14 billion in annual revenue. While at the firm, he served in multiple leadership roles, including the U.S. Vice Chairman and Process and Industrial Products Leader. Mr. Hanley began his career at Arthur Andersen and served as an audit partner for large manufacturers. He served as a board member of the National Association of Manufacturers and regularly advises privately held companies in the consumer products, retail, and distribution industries. Mr. Hanley currently serves as the Acting Keyes Dean for the College of Business at Marquette University.

Ms. Harnett has been a senior advisor to digital startups and mentor at New York’s FinTech Innovation Lab and a founding limited partner in How Women Invest and a member of the Executive Board of How Women Lead, organizations committed to increasing venture funding to women led companies. She serves as a member of the Board of Directors of OFG Bancorp. (NYSE: OFG), a financial holding company based in San Juan, Puerto Rico, since June 2019 serving on the Risk and Compliance Committee, Chair of the Governance and Nomination Committee and served on the Audit Committee until April 2021.

Ms. Harnett is also a current member of the Board of Directors of Life Storage, Inc. (NYSE: LSI), serving on its Audit and Risk Management and Human Capital Committees since February 2021. In April 2021, she joined the board of GoalSetter as the Astia Venture Capital Representative. Ms. Harnett recently joined the board of American Enterprise Group, a mutual insurance company, where she sits on the Audit Committee. Ms. Harnett also served on the Board of Directors and on the Audit and Compensation Committees of First Niagara Financial Group, a $40 billion in assets publicly traded bank, from 2015 until its acquisition by KeyCorp (NYSE:KEY) in 2016. From 2012 to 2015, Ms. Harnett was Chief Operating Officer of North America for QBE Insurance Group Limited (“QBE Insurance”), an international insurer and reinsurer. From 2001 to 2012,

Ms. Harnett held several key positions at Citigroup Inc. (“Citi”), a multinational investment bank and financial services company in domestic, international, and global roles. The last three positions during her tenure with Citi included President of Local Consumer Lending (2011-2012), Head of Global Business Performance (2008-2011) and CEO of Citibank Germany (2004-2007). She has also served on the Boards of QBE Insurance, CitiFinancial, and Visa Canada. She was Chair of Citi’s Management Board in Germany and of the Global Perspectives Advisory Group of Marquette University’s College of Business. Ms. Harnett is a Certified Corporate Director by National Association of Corporate Directors (NACD) and a Certified Risk Director from the DCRO Institute. She holds a Bachelor's degree from Marquette University and an Executive Master of Business Administration degree from Northwestern University's Kellogg Graduate School of Management.

Mr. Danziger joined the Sphere 3D in December 2022. He brings to the Sphere 3D Board of Directors extensive experience in corporate accounting and audit best practices and providing counsel to executives as a Board member for multiple public companies across a broad range of industries. Mr. Danziger is a Partner and Senior Vice President of Assurance at MNP LLP, Canada’s fifth largest chartered professional accounting and business advisory firm where he also sits on the firm’s Management Committee. Boards on which Mr. Danziger has served include, Osisko Development Corp., Euro Sun Mining Inc. (Audit Committee Chair), The Intertain Group, Universal Ibogaine Inc., Skylight Health Group Inc. (Chairman) and Entourage Health Corp. Mr. Danziger also was a founder of ten Capital Pool Companies, all of which completed Qualifying Transactions. Mr. Danziger is a Chartered Professional Accountant and holds a Bachelor of Commerce degree in Economics and Finance from the University of Toronto.
