Overland Data Announces Underwriters Exercise Over-Allotment Option In Initial Public Offering

SAN DIEGO, California - Overland Data, Inc. (NASDAQ/NMS: OVRL) today announced that Jefferies & Company, Inc. and Cruttenden Roth Incorporated, the managing underwriters of the Company's February 21, 1997 initial public offering, exercised their 30-day over-allotment option to purchase an additional 450,000 shares of common stock from the Company. The offering price to the public for the additional shares is $10.00 per share.

Overland Data's initial public offering was increased by 300,000 shares over the original filing of 2.7 million shares. Including the over-allotment shares, the offering consisted of 3.45 million shares of common stock, of which 2,836,364 were sold by the Company, and 613,636 were sold by the selling shareholders. Following the offering, the Company has a total of 10,382,862 shares outstanding.
